1. Scope and provider
These terms and conditions apply to the use of Kanzleihelfer.ai in the app for iOS and Android and in the web app at app.kanzleihelfer.ai (together the “service”).
The provider is Anton Alpha GmbH, Maurer Lange Gasse 64, Top 3, 1230 Vienna, Austria, company register no. FN 538589v, Commercial Court of Vienna, VAT ATU82459901, e-mail info@kanzleihelfer.ai (“provider”, “we”).
The service is aimed at businesses, in particular law firms, notaries and tax advisers and their staff (“users”). If a consumer uses the service, mandatory consumer protection law remains unaffected. Deviating terms of users only apply if we agree to them in writing.
2. Services
Kanzleihelfer.ai converts dictations, uploaded audio files and recorded meetings into text and uses artificial intelligence to create drafts of briefs, letters, file notes and other documents. Depending on the plan, this includes letter types, your own letterhead with Word export, a chat about documents, translations and the assistant Lexi. The current scope of features is described on kanzleihelfer.ai and in the app.
The service is a tool for creating drafts. It does not provide legal, tax or other advice and does not replace the professional review by the users.
We continuously develop the service and may change, add or replace features as long as the core of the contractually agreed service is preserved and the change is reasonable for users.
3. Account and organisation
An account is required to use the service. Users sign in with Google, Apple, Microsoft or by e-mail. Users keep their login details secret and inform us without delay if they suspect misuse.
A firm can be set up as an organisation. The person managing the organisation can invite members, share quotas and define common letter types, style guidelines and letterhead. They ensure that invited members are authorised to use the service.
4. Plans and quotas
We offer a free plan and paid monthly subscriptions (currently Starter, Standard and Pro). Scope, quotas (such as the length of a dictation, recordings with several speakers, the number of chat messages) and prices are those shown in the plan overview at the time of purchase. Unused quotas expire at the end of the respective billing period; chat messages reset every month.
Additional quotas can be provided via vouchers or an organisation. The free plan can be changed or discontinued at any time.
5. Prices and payment
The prices shown during the ordering process apply. Subscriptions are charged in advance for the respective billing period.
When subscribing in the app, purchase and payment are handled by the Apple App Store or Google Play; their terms apply in addition, and prices may differ between stores. In the web app, payment is made by credit card via our payment provider Stripe.
6. Term and cancellation
Subscriptions run for one month at a time and renew automatically for another month unless cancelled before they expire. Users can cancel at any time with effect from the end of the current billing period – for subscriptions taken out in the app via the subscription management of the App Store or Google Play, for web subscriptions in the web app.
Both parties’ right to terminate for good cause remains unaffected. For us, good cause exists in particular in the event of a serious breach of section 7.
Users can delete their account and data in the app at any time.
7. User obligations
- Users use the service only in accordance with applicable law and their professional rules.
- Before recording a meeting, users obtain the necessary consent of all participants.
- Users only upload content they are entitled to process and do not infringe any third-party rights.
- In particular, interfering with the technical infrastructure, automated mass requests, circumventing quotas and passing on access to unauthorised persons are prohibited.
8. AI output and duty to review
Transcripts and drafts are generated automatically and may contain errors, omissions or unsuitable wording – for example in names, figures, deadlines, case numbers or legal provisions. Users review every result on their own responsibility before using it and are responsible for the documents they send or file.
9. Data protection and confidentiality
We process personal data in accordance with the General Data Protection Regulation (GDPR), the Austrian Data Protection Act and – for the Swiss data region – the Swiss Federal Act on Data Protection. Users choose the data location: Europe (Frankfurt) or Switzerland (Zurich). Data is transmitted encrypted.
Where we process content on behalf of users, we act as a processor under Art. 28 GDPR; for this purpose we conclude a data processing agreement (DPA) with users, which also lists the sub-processors used. We treat users’ content confidentially and support them in complying with their professional duties of confidentiality.
Details are set out in the privacy policy (German).
10. Availability
We strive for high availability of the service. Interruptions for maintenance, security updates or due to disruptions beyond our control (such as at network operators or cloud providers) are possible. Recordings are cached on the device and uploaded as soon as a connection is available. We only guarantee a specific availability if this has been agreed separately in writing.
11. Rights to content and software
Users retain all rights to their dictations, documents and other content. They grant us the rights required to provide the service, and only for that purpose.
All rights to the software, the letter type templates and the Kanzleihelfer.ai brand belong to us or our licensors. For the duration of the contract, users receive a simple, non-transferable right to use the service as intended.
12. Liability
We are liable without limitation for intent and gross negligence and for personal injury. Towards businesses, we are not liable for slight negligence, except in the case of personal injury.
Towards businesses, liability is – to the extent permitted by law – limited to the foreseeable damage typical for the contract and, in amount, to the fees paid by the user in the twelve months before the event causing the damage. Towards businesses, we are not liable for lost profit, consequential damage or the loss of data that users have not backed up.
For damage resulting from the unreviewed use of AI output (section 8), we are only liable under this section 12. Mandatory statutory liability, in particular under the Product Liability Act, remains unaffected.
13. Changes to these terms
We may change these terms with effect for the future if there is an objective reason, such as changes in law, case law or features. We notify users of changes by e-mail or in the app at least 30 days before they take effect. If users do not object by the effective date, the changes are deemed accepted; we point out this consequence in the notification. In the event of an objection, either party may terminate the contract as of the effective date of the change.
14. Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods and the conflict-of-law rules of private international law. The place of jurisdiction for disputes with businesses is the competent court for Vienna Inner City. For consumers, the statutory places of jurisdiction apply.
Should any provision of these terms be invalid, the remaining provisions remain valid. The invalid provision is replaced by a valid one that comes closest to its purpose.
We answer questions about these terms at info@kanzleihelfer.ai.
